Terms of Service

1. The service and who it is for

Uplify Ads Assistant (the "service") analyses and helps optimise your own Google Ads, Merchant Center, Google Analytics 4 and Search Console accounts. The service is provided for business use only, to sole traders and legal entities acting in the course of their trade; it is not a consumer service. By registering you confirm that you act as a business and are authorised to manage the accounts you connect.

2. Changes to your accounts: the decision is always yours

The service never changes anything on its own. A change is executed only after you have separately approved that specific change in the interface. Google Ads changes (negative keywords, campaign budget, geo-targeting mode, placement exclusions, pausing a campaign) require your per-action approval. In Merchant Center, approved attribute corrections are written only into a separate supplemental data source created by the service; your primary feed is untouched, and price, availability, link and item id are never modified. Every applied change is logged in "Actions" and most can be reverted in one click. One technical exception: when you connect Merchant Center, the service registers Content API access on your behalf once — a prerequisite for the integration that changes none of your products, prices or settings.

Your approval is your own management decision about your own account. By approving a change you confirm that you understand it, have assessed its suitability for your business, and accept responsibility for its consequences. The operator executes your decision; it does not make it for you.

3. Nature of the recommendations: methodology, not a guarantee

Findings, audits and proposals are based on your account data, on generally accepted paid-search practice and on the UPLIFY agency methodology. They are advisory information.

The operator guarantees no outcome — no growth in sales, revenue or conversions, no reduction in cost per conversion or spend, no particular rankings, impressions or product approvals. Advertising results depend on many factors outside the operator's control: demand and seasonality, competitors, pricing and assortment, website and fulfilment quality, Google's algorithms and policies, budget, and changes made by you or by third parties. Nothing in the service, in emails, reports or presentations is a promise of a specific metric and must not be relied on as one.

4. Artificial intelligence

Some explanations, summaries and texts (including product titles and descriptions) are generated by language models and may contain errors. Figures come from your accounts, but the text around them is subject to your review before you act on it or publish it. You are responsible for the legality of content you publish.

5. Independence from Google

The operator is not affiliated with Google and does not control its decisions. Product disapprovals, account suspensions, and changes to Google's policies, algorithms or APIs are Google's own acts; the operator is not liable for them or for the unavailability of Google services. You remain the owner of your accounts and responsible for complying with Google's policies.

7. Availability

The service is provided "as is" and "as available", without a warranty of uninterrupted or error-free operation. Some features may be in early access (beta).

8. Payment and renewal

Paid plans are a one-off payment for the chosen period. There is no auto-charge: the subscription does not renew itself. Payment buys access to the features for the period and is not payment for achieving any advertising result.

9. Cancellation and refunds

You may cancel at any time in "Plan": paid features stay available to the end of the paid period, after which the account moves to the free plan and your data stays. Because access is granted immediately and consumed over the period, a paid period is not refunded pro rata, except where the service was unavailable through our fault for a material part of the period, or where a refund is required by law.

10. Content and rights

Your account data and your content remain yours. You grant the operator the rights needed to run the service (analysis, audits, proposals, and applying the changes you approve). Text generated at your request (product titles, descriptions, etc.) is yours to use; you are responsible for checking it against the law and third-party rights before publishing. The operator does not warrant the uniqueness of generated text and is not liable for third-party claims about content you publish.

11. Personal data

Processing is described in the Privacy Policy. For your account and payment data the operator acts as controller; for data obtained from the Google accounts you connect, the operator acts on your instructions and on your behalf, solely to provide the service.

12. Limitation of liability

To the extent permitted by Ukrainian law, the operator is not liable for advertising outcomes or for decisions you take on the basis of the service's materials; for lost profit, lost revenue, reputational or indirect losses; for the acts of Google or other third parties; or for the consequences of changes you approved. The operator's aggregate liability for claims arising within any 12-month period is limited to the amount you actually paid for the service in the 6 months preceding the event (zero on the free plan). These limits do not apply where Ukrainian law does not allow liability to be limited, including intentional breach. If, contrary to §1, a user is nevertheless treated as a consumer, their mandatory statutory rights apply in full and these terms apply only so far as they do not conflict with them.

13. Force majeure

The operator is not liable for failure or delay caused by events beyond its reasonable control: hostilities, power or connectivity outages, cyber-attacks, failures or changes in the services it depends on (Google, hosting, payment providers, AI model providers), and acts of public authorities.

14. Termination

You may disconnect your Google accounts or delete your account and all data at any time in the cabinet ("Profile"). We may suspend access for breach of these terms or abuse of the service.

15. Governing law and changes

These terms are governed by the law of Ukraine. We will announce material changes on this page and/or by email; continued use after they take effect means you accept them. Questions: hello@uplify.agency.
